Coaching Agreement
Introduction
Table For 9 Coaching, LLC (herein referred to as “Company”) agrees to provide client with coaching program as identified on the first page of this document, the invoice. Client agrees to abide by all policies and procedures as outlined in this agreement as a condition to their participation in this program.
Disclaimer
Jackie (Jacqueline) (herein referred to as “Coach”) and Company, is not an agent, lawyer, licensed counselor, doctor, project manager, therapist, public relations or business manager or specialist, registered dietitian, financial analyst, psychotherapist, or accountant. Client understands that Coach has not promised, shall not be obligated to, and will not: (1) procure or attempt to procure employment or business sales for Client; (2) perform any business management functions including but not limited to, accounting, tax or investment consulting, or advice with regard thereto; (3) act as a therapist providing psychoanalysis, psychological counseling, or behavioral therapy; (4) act as a public relations manager; (5) act as a publicist to procure any publicity, interviews, write-ups, features, television, print, or digital media exposure for Client; (6) introduce Client to Coach’s full network of contacts, media partners, or business partners. Client understands that a relationship does not exist between the parties after the conclusion of this program, unless mutually agreed upon via separate contract. Client is aware of Coach’s office hours, Monday- Friday, 9:30 am to 4:30 pm, and Client may not receive a response to emails, texts, phone calls, or any other communication, until the next available business day.
AKA: Jackie/Table for 9 Coaching is a life coaching service whose sole purpose is to help people show up to and live a healthy, authentic, and complete life they are proud of, and is no way licensed a clinical professional.
Earning Disclaimer
Every effort has been made to accurately represent our services and their potential. There is no guarantee that you will earn money using the techniques and ideas in these materials. Examples in these materials are not to be interpreted as a promise or guarantee of earnings. Earning potential is entirely dependent on the person using our products, ideas, and techniques. We do not position any of our products as a “get rich quick scheme”. Your level of success in attaining the results coached to you depends on devoted time, ideas, and techniques, your finances, knowledge, and various skills. Since these factors differ according to individuals, we cannot guarantee your success or income level, nor are we responsible for any of your actions.
AKA: Everything is relative, and we will work together to put individualized tools in your toolbox. There is no guarantee that your business or company will grow as we are not consultants. We believe that through personal growth, YOU as a person will be more successful, simply in that you will want to show up to and live a healthy authentic and complete life that you are proud of... but cannot guarantee financial/business success or income.
Non-Discrimination
Table For 9 Coaching, LLC will not choose which clients to work with based on race, creed or religion, sexual orientation or preference, gender, ancestry, or military status. Coach will not coach any individuals under the age of 20 years old by the time of the first coaching session without parental consent and signed form. Coach will not meet with any individuals under the age of 17 at all. Clients under the age of 25 at all are not guaranteed to work with Coach. Coach will not meet behind closed doors with an individual who is married or in a relationship and is male or expresses as male, with the exception that there is consent for recording of in-person sessions on a separate contract. Table For 9 Coaching, LLC is not a licensed counseling service previously mentioned in the disclaimer section. Should Coach or any future staff member engage in a telephone consultation with a potential client, and see fit that the potential client is in need of clinical assistance, Table For 9 Coaching, LLC reserves the right to deny potential client services on that bias. If Coach or future staff members engage in an intake session with a potential client, and see fit that the potential client is in need of clinical assistance, Table For 9 Coaching, LLC reserves the right to deny potential client services on that bias. If Coach or any future staff has already signed an agreement with Client and see fit that Client is in need of clinical assistance after some time, Table For 9 Coaching, LLC reserves the right to stop all coaching services immediately. Client will be informed of this termination of services, receive a written letter, and be refunded for the sessions that have not yet taken place between Coach or future staff and Client. Client may resume sessions with written note from licensed clinical counselor on their letterhead.
Coach reserves the right to terminate or deny services with any clients if necessary due to patterns of unpaid invoices or late payments, demand letters, last minute cancellations, breaking of contract/confidentiality, breaking set boundaries, or any other reason coach sees fit.
AKA: We have never and will never discriminate against anyone when it comes to serving clients, but we do not accept every client. It is more about age, chemistry and fit. If a male who identifies as he/him is married/in a relationship the sessions may be subject to recording, only to be kept internally and confidentially. If client has a clinical need that may require a therapist, we may stop or pause all services. If a client has a pattern of no call no show, unpaid invoices, and breaking of boundaries, client may be denied future services.
Session Policy
Coaching services are intended for general guidance and personal development purposes only. While we strive to provide support and guidance to enhance your well-being and personal growth, it is important to note that our coaching services are not intended to serve as an emergency line or substitute for professional medical, psychiatric, or therapeutic intervention. Our coaching services function as an extension of our coaching practice, focusing on empowering individuals to identify goals, develop strategies, and make positive changes in their lives. We aim to provide a supportive environment for exploration, reflection, and growth. It is essential to recognize that coaching is not a form of therapy or crisis intervention. If you are experiencing a mental health crisis or require immediate assistance, please contact emergency services or seek help from a qualified mental health professional. By engaging in our coaching services, you acknowledge and agree that you are solely responsible for your own decisions, actions, and well-being. Our coaches are not liable for any outcomes resulting from the coaching process.
Session types are as follows:
Regularly scheduled weekly or bi-weekly sessions may be booked and scheduled only if client has completed a round of the 9-session bootcamp. A new contract may be signed and amendments made if client wishes. Coach reserves the right to deny sessions under 9 weeks or outside the acceptable list of session types as listed above.
AKA: We are here to remind you of who you are and give some insight as to what may be in your way and what to do about it-- but we are not going to diagnose, counsel, or therap-ize you. Please seek a professional if you are experiencing a mental health crisis. We don’t make exceptions for session types. A new client may choose to do 1) One or all of the 3 tiers of typing sessions, 2) On-The-Go Coaching, 3) 3-Month Bootcamp, 4) a Retainer Package with individualized terms by invitation only, 5)Month-to-month, weekly, or bi-weekly sessions for graduated clients. If a client wishes to meet regularly (weekly or bi-weekly) without a cap or end date, they must first complete one round of the 9-session package to book session by session.
Payment & Fees
Prices and fees are subject to change. Payments are due on receipt and services will be subject to start based on executed payment. Payments for recurring services are due on specified date on Client’s invoice. Discounts are not guaranteed. NJ State Tax will be added to each invoice where applicable, or other state tax as travel permits.
Payment options are:
(1) to pay the amount discussed between Client and Coach for the full service in full (all sessions in advance),
(2) to pay the specified amount on the invoice on the date that the Client’s invoice specifies (applies to typing sessions),
(3) to pay session by session through automated payments. With this, you agree that your card will be held securely on file and charged either before or after every session. (for month-to-month, on-the-go coaching, weekly, or bi-weekly meetings)
(4) a retainer between Coach and Client, resulting in an individualized plan and separate contract. Retainers must be approved and are not guaranteed.
(5) a payment plan for a different amount than the total sum of the pay-in-full option (for 3-month Bootcamp)
Recurring/automated payments for all 9 sessions will continue whether the sessions are utilized or not, such as a subscription or membership.
As stated above, if a client wishes to book session by session with no end date, they must finish one round of the 9-session package first to hold that price.
Amounts due to Coach by Client will be laid out on the first page of this document. The first page of this document may be added to as time goes on and as Coach and Client may decide to continue working together.
If an open invoice exceeds 30, 60, and 90 days, the invoice may be subject to late fees or sent to a collection agency.
As all group trainings are per person and per level, total price is subject to change upon final billing.
Coach reserves the right to yield or cancel all services due to unpaid invoices.
AKA: You can pay for all sessions in advance, pay for the invoice only, or do automated payments. Payment plans are available for a different rate for the 3-month bootcamp. Sessions may not be scheduled until invoice is paid. Like a gym membership, the sessions will be paid for by the recurring payment even if not utilized.
Deposit and Final Payment
A non-refundable deposit of 50% assumed cost must be paid for all group sessions to hold a desired date. Final payment price will be determined on the invoice and may not equal to the initially established 50% of the paid deposit.
For groups, cancellations, deposit may be transferable if 1) cancelled 72 hours before travel or 72 hours before scheduled virtual group call and 2) date is changed to another date within 60 days of intended scheduled date.
Groups who have paid deposits and cancel within 3 business days of intended date forfeit deposit altogether and may be billed for travel expenses if needed. To rebook, another deposit must be paid for another date.
AKA: We need 50% of what we think the cost will be for your group to actually hold the date. If things change during the training (added another few people, etc) that may change the end invoice amount. All deposits are not refundable. However, if you cancel within 3 days of the event, and just move the date within 60 days of the original date, you do not lose the deposit. However, if this cancellation/rescheduling takes place within 3 business days of your scheduled date, that deposit will not be refunded or transferred to another date and a new deposit will need to be placed. Client will also be responsible for travel costs that have already been booked.
Travel Policy for Groups
Coach will include travel costs into quote given to point person or group coordinator and added to final payment invoice. If coordinator would like to keep travel reimbursements separate coach will submit them via a separate invoice. Travel reimbursements follow the same timeline as stated in payment and fees section.
Refund Policy
As stated in the Non-Discrimination clause: If Coach or any future staff has already signed an agreement with Client and see fit that Client is in need of clinical assistance, Table For 9 Coaching, LLC reserves the right to stop all coaching services immediately. Client will be informed of this termination, receive a written letter, and be refunded for the sessions that have not yet taken place between Coach or future staff and Client.
For unsatisfied clients who do not wish to continue the program further, we will issue a refund of sessions that have not yet taken place if Client has paid in full. All refunds are discretionary as determined by Table For 9 Coaching, LLC. If Client and Coach or other staff members of Table For 9 Coaching, LLC have met, gone over exercises, viewed materials, etc., Table For 9 Coaching, LLC reserves the right to deny request for refund.
Clients who choose to have Coach on retainer and have been approved for a set amount every month will not be refunded payment that is the sum of unworked hours. Coach may make an exception for unworked hours while Client is on vacation for two weeks or more at a time. This is not guaranteed.
Those signing up for a package with a deposit will not receive their deposit back when they cancel services, even if sessions have not started yet.
AKA: If coach has terminated service due to a clinical issue (released the client for further help elsewhere) all unused sessions will be refunded. If a client is unsatisfied with services, they will be refunded unused sessions only if they have paid in full. Client is responsible for paying invoices before services take place. We reserve the right to refuse a refund for used materials, services, and sessions (AKA sessions that have already taken place). Retainers are non-refundable, period.
Cancellation/ Rescheduling Policy
Table For 9 Coaching, LLC and Coach understand that emergencies and unexpected moments happen. There is a 24-hour cancellation policy and rescheduled session must take place before no later than ten days after original session would have taken place.
If cancelled session cannot be rescheduled by on account of the Client (scheduling issues, lack of follow through, etc.), Client is liable to pay 100% of missed session’s invoice amount, or not receive refund if already paid.
Exceptions to this will be granted, case by case, by Coach for reasons such as but not limited to physical or mental emergencies, bereavement, and any other exception Coach deems as acceptable. Should Coach deem an exception to a missed session, it is not guaranteed that Client will make up that session in their contract period and may be subject to lose that session with Coach.
If a cancellation takes place within 24 hours of the session and is initiated by Coach, Client reserves the right to make up that session and request a bonus session, free of charge.
For any sessions in which Client does not show (no-show) and has not contacted Coach by phone or email prior to 2 hours of the session start time, the session will be forfeited without refund and/or will be billable. there is a 15-minute grace period for all meetings after the agreed start time begins.
If client is late, the session may continue for the remainder of time permitted but will be billed for the full session. Table For 9 Coaching, LLC reserves the right to terminate agreements and programs with Client if Client reschedules more than three sessions back-to-back.
Rescheduling policy varies for group workshops/sessions and speaking engagements. Deposit is non-refundable, but transferable if canceled date is canceled within 3 business days.
If client is in the Bootcamp contract and chooses to cancel services but is in the middle of a payment plan, the fee for canceled contract will be 10% of all unused sessions.
If client's payment plan exceeds meeting time (6 mon payment plan for 9 sessions over 3 months) they may not cancel payments as service has already been provided.
One time and typing sessions, as well as retainers, cannot be refunded. If unused, they are transferable to another date or person.
AKA: If a client reschedules within 24 hours of meeting, rescheduled date needs to be within the next 10 days (if available). If cancelled session cannot be rescheduled on part by Client, the Client will be billed for that session/not refunded if already paid/ session will not roll over even if meeting did not happen. If client has not contacted coach by any means within 2 hours of the meeting start and doesn’t show, they are responsible for paying 100% of that invoice and forfeiting that session. If a client is late, they will still be billed for the full session. For groups, the deposit will not be refunded if canceled within 3 business days of training. If done prior, deposit can be transferred to a different date.
3-Month Bootcamp Scheduling and Refund Policy:
Upon booking a 3-month bootcamp with the Coach, the Client is required to schedule and complete the first session within five (5) weeks of remitted payment. If the first session is not scheduled within this five-week period, the payment will become non-refundable. In such a case, the Client may either:
Exceptions are based on Coach's lack of availability or proof of travel, but are not guaranteed.
AKA: After you've remitted your first payment for bootcamp, you must book our first session together and complete it within 5 weeks of that payment. If you don't, you can start any time and finish up the bootcamp, but if you change your mind it will not be refundable at that point. You can (1) continue with the bootcamp as intended (start any time!), (2) you can choose to not go through with the bootcamp anymore, but are not entitled to a refund for unused sessions or services, or (3) gift it to someone else. This must be approved by Coach.
On-The-Go Coaching
On-The-Go Coaching is life coaching via voice-messaging through Whatsapp and is not an emergency or crisis line. On-The-Go Coaching hours are 9:00am EST-5:00pm EST Monday through Friday excluding calendar and bank holidays and weekends. Coach may respond during off-hours at-will and availability. Messages can be sent to Coach at any time. During coaching hours, please allow up to 90 minutes for response. Typing session may be required, level of typing session is up to the client.
Retainer
All retainers are subject to approval. Terms and prices are agreed upon mutually by Client and Coach and listed in invoice item's description.
Typing Sessions
All Enneagram Typing sessions are due for the full invoice amount regardless of time spent in meeting. Signature of this contract as it relates to a typing session does not guarantee working 1:1 with Coach. There are no payment plans for typing sessions. The typing session still abides by all other clauses of this contract and agreement. Typing sessions are a series of both questions and discussions by Coach and Client. Coach is not responsible for mistyping based on the constant back-and-forth nature of the session.
Full day typing sessions can be broken down into 2 sessions maximum.
Session by Session Meetings
Clients may have the option to schedule session by session in lieu of a package. Session by session bookings may be higher in price and prices are subject to change. Coach reserves the right to terminate contract for no call no show. There are no payment plans for session by session retainers. Contracts will be made and signed per session unless otherwise specified by the last page of this contract.
Client Responsibility
All of Table For 9 Coaching, LLC’s programs are developed for strictly self-awareness and personal growth purposes only. Client accepts and agrees that Client is 100% responsible for their progress and results from any program or sessions. Company makes no representations, warranties, or guarantees verbally or in writing. Client understands that because of the nature of the programs and their extent, the results experienced by each client may significantly vary. Client acknowledges that as with any business endeavor, there is an inherent risk of loss of capital and there is no guarantee that Client will reach their goals as a result of participation in the programs or sessions. Program education or information is intended for a general audience and may not be specific advice tailored to any individual. Company assumes no responsibility for errors or omissions that may appear in any program materials.
Confidentiality, Conflict of Interest, Non- Disclosure, and Intellectual Property
Company and Coach respect Client’s privacy and insists that Client respects the Company’s and any other program or workshop participants (herein referred to as Participants). Thus, consider this a mutual non-disclosure agreement. Any confidential information shared by Company or Participants or any representative of Company is confidential and belongs solely to the individual who discloses it. Both parties, Coach, and Client, agree not to disclose, reveal or make use of any confidential information. Confidential information includes but is not limited to information in this Agreement. Both parties will keep confidential information in the strictest confidence. Client agrees not to violate Company’s publicity or private rights. Client will NOT reveal information to a third party obtained in connection with this Agreement or Company’s direct or indirect dealings, which includes but is not limited to: worksheets, workshop takeaways, and intellectual property. By signing this agreement, you agree that if you violate or display any likelihood of violating this clause, Company or Client will be entitled to injunctive relief.
Table For 9 Coaching, LLC reserves the right to disclose any information about the Client, their progress, or their file if the Client exhibits what is reportable by law, which includes but is not limited to: suicidal thoughts or intentions, homicidal thoughts or intentions, or warrant by police. Jackie/Table for 9 Coaching is a coaching service, and thus, a mandated reporter. ALL of client's confidential information will be treated with respect.
Client agrees that they do not have the license to redistribute workshops, work sheets, session ideas, or any other intellectual or tangible property belonging to Company, especially on, but not limited to, social media or networking platforms.
AKA: You don’t tell and we don’t either. All of client’s information and progress is kept confidential from Coach’s personal circle and Client’s as well. (Even your mom.) Client also agrees not to disclose any information that is confidential. You agree that you are not signing up for services to grab ideas that Table for 9 Coaching LLC has worked to build. At any point, if client expresses anything reportable by law (stated above and otherwise), Table for 9 Coaching LLC / Jackie will turn this information over to proper authorities. OTHER THAN THESE RARE EXCEPTIONS, all information is inside the vault.
Termination & Indemnification
Company is committed to providing all clients working with Coach or Company a positive experience. By purchasing and agreeing to a service or session with Table For 9 Coaching, LLC or Coach, Client agrees that the Company may, at its sole discretion, terminate this agreement and limit, suspend, or terminate Client’s participation and working relationship with Coach, Company, or any future staff members of Company without refund or forgiveness of monthly payments if Client becomes disruptive to Company or Participants, if Client fails to follow session or workshop, is difficult to work with, impairs the participation of other Participants if in that setting. Client will still be liable to pay the total contract amount.
Client shall defend, indemnify, and hold harmless Company, Company’s officers, Coach, employers, employees, contractors, directors, related entities, trustees, affiliates, and successors from and against any and all liabilities and expense whatsoever -- including without limitation, claims, damages, judgements, awards, settlements, investigations, costs, attorneys fees, counseling fees. Client shall defend Company in any legal actions rising or relating to this agreement.
Client hereby agrees that by signing this document, electronic signature or otherwise, that Client agrees to all of the contract statements above and has agreed to a coaching package lined out on the invoices given.
